By accessing or using ReporterFlow (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
The Service is provided by ReporterFlow ("we," "us," or "our"). These Terms constitute a legally binding agreement between you and us.
ReporterFlow is a cloud-based business management platform built for professional federal court reporters, with an optional state-edition workflow for state and county court reporters. The Service provides tools for transcript order management (including optional transcript file uploads for short-term client delivery), invoice and AO-form generation (AO-44, AO-40A, AO-40B, AO-37, AO-38, AO-39, AO-35, ST-39D), expense tracking, attendance logging, daily journals, contact management, AI-assisted email triage, and email delivery via Resend.
The Service is intended for use by licensed or certified professional court reporters and related professionals. You must be at least 18 years of age and have the legal authority to enter into these Terms to use the Service.
To use the Service, you must create an account using a valid email address. You are responsible for:
ReporterFlow accounts are sold on a per-person basis: each account is for a single individual. You may not share your login credentials with, or allow account access by, anyone else — including colleagues, employees, contractors, assistants, or family members. Each person who uses the Service must have their own account. We may suspend or terminate accounts we find to be in shared use, without notice and without a refund.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
The transactional email feature may only be used to send legitimate professional communications (invoices, transcript-delivery notifications, payment reminders) to parties with whom you have a genuine business relationship. You are solely responsible for the content and addressing of all emails sent through the Service.
Everything you can see and learn while using ReporterFlow — including the interface design and layout, the way features and workflows are built, the report formats and on-screen taxonomies, the help and documentation text, and anything visible only after you sign in (collectively, "Service Information") — is the proprietary work product of ReporterFlow, licensed to you for the sole purpose of running your own court reporting practice. In addition to the Acceptable Use rules above, you agree that you will not, and will not permit anyone else to:
Nothing in this section restricts lawful competition itself; it restricts only the use of our information and work product to enable it. These restrictions survive termination of your account.
The Service includes AI-assisted features (e.g., calendar parsing, email order extraction, transcript notice parsing, chat assistant). By using these features, you acknowledge:
ReporterFlow takes no platform fee, transaction fee, percentage cut, or markup on the payments your clients send you. Your clients pay you directly, however you already take payment, and the whole amount is yours. Your subscription is the only money you pay us. Period.
ReporterFlow is sold as a single annual subscription: $150.00 USD per year, flat — the same price every year, with no introductory rates that step up later. There are no tiers, no upsells, and no feature gating; the subscription gives you full access to every feature of the web application.
A monthly billing option is not currently offered to new subscribers. The desktop application and any premium add-ons, if and when offered, are optional and billed separately from the annual subscription — the desktop application as a one-time purchase and add-ons as an additional recurring charge that renews alongside your subscription.
When you subscribe, your card is charged immediately for the first annual billing period. The subscription auto-renews at the end of each year until you cancel. All fees are in U.S. dollars and are exclusive of any applicable taxes.
All subscription payments are non-refundable. When you purchase or renew a subscription — monthly or annual — that payment is final. We do not issue prorated, partial, or full refunds for cancellation, non-use, or any unused portion of your term.
What cancellation gives you instead: when you cancel, your subscription stops auto-renewing and you keep full access through the end of the billing period you have already paid for. After that period ends, your account moves to read-only access to your historical records as described in our Privacy Policy. You are never charged again after you cancel.
The only exception is a genuine billing error on our part — for example a duplicate charge, or a charge made after a cancellation we confirmed. If you believe you were charged in error, email support@reporterflow.com and we will investigate; verified errors are corrected to the original payment method via Stripe within 5–10 business days.
ReporterFlow does not process the card payments your clients send you, and we do not act as a payment processor or money transmitter on your behalf. Your clients pay you directly by whatever means you already accept; the app records what you tell it about those payments. If we ever offer client-payment processing, it would be optional, and we would update these Terms before activating it.
You may cancel your subscription at any time from Settings → Plan. Cancellation stops future auto-renewal; it does not trigger a refund (see the Refund Policy above). You keep full access through the end of the billing period you have already paid for, after which you retain read-only access to your historical records as described in our Privacy Policy.
You retain ownership of all data you enter into the Service, including transcript orders, invoices, expenses, contacts, and case information ("Your Data"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, transmit, and display Your Data solely as necessary to provide the Service to you.
We do not sell Your Data to third parties. We do not use Your Data to train AI models. Our full data practices are described in our Privacy Policy.
You are responsible for ensuring that the data you enter into the Service complies with any applicable confidentiality obligations, court rules, federal regulations, or professional conduct requirements governing court reporters in your jurisdiction.
The Service, including its software, design, branding, and original feature concepts — including but not limited to source-traceable report figures (the ability to click any number on any report and see the underlying transcripts and dollar amounts behind it), integrated AO court-form generation, and the daily journal layout — is owned by ReporterFlow and is protected by copyright, trademark, trade dress, and other intellectual property laws.
You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service without our prior written consent. "ReporterFlow" and the ReporterFlow logo are trademarks of ReporterFlow. All rights reserved.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Service at your own risk.
The Service is not a substitute for professional legal, accounting, or tax advice. Compliance reports generated by the Service (including AO-37, AO-38, AO-40A, AO-40B, AO-44, ST-39D) are based on the data you enter and are provided for informational purposes only. You are solely responsible for verifying the accuracy of all reports before submission to any court, government agency, or other authority.
To the maximum extent permitted by applicable law, ReporterFlow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of or inability to use the Service.
In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).
You agree to indemnify, defend, and hold harmless ReporterFlow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: your access to or use of the Service; your violation of these Terms; your violation of any rights of another party; or any data or content you submit to the Service.
You may stop using the Service at any time and request account deletion by contacting support@reporterflow.com. We will delete your data within 30 days of a verified deletion request, subject to legal retention requirements.
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.
We may also immediately suspend or terminate an account, and pursue collection of any unpaid balance, if we detect fraud or abuse — including chargebacks or payment disputes filed against legitimate subscription charges, repeated failed or reversed payments, use of stolen payment credentials, or systematic abuse of the Service or its payment features. Reinstatement after a termination for fraud or abuse is at our sole discretion and may require payment of any outstanding balance.
Certain provisions are intended to outlast your account — see the Survival section below for the list of sections that continue to apply after termination.
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which the operator of ReporterFlow is domiciled, without regard to conflict-of-law provisions.
Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved exclusively in the state or federal courts of competent jurisdiction in the operator's domicile, and you consent to the personal jurisdiction of such courts.
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via the app or email. For material changes, we may also require you to review and accept the updated Terms before you continue using the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
The following sections survive any termination or expiration of these Terms and continue to apply: Acceptable Use; Restrictions on Use of Service Information; Your Data (your ownership and the responsibilities described there); Intellectual Property; Disclaimers; Limitation of Liability; Indemnification; Governing Law and Dispute Resolution; and the general provisions in Sections 17 through 20 (Severability, Entire Agreement, Assignment, and No Waiver).
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and, to the extent it cannot be, will be deemed modified or severed from these Terms. The remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy, make up the entire agreement between you and ReporterFlow regarding the Service, and replace any prior or contemporaneous agreements, proposals, or communications — whether written or oral — on that subject.
You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent; any attempt to do so is void. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, financing, reorganization, or sale of all or substantially all of our assets. These Terms bind and benefit the parties and their permitted successors and assigns.
Our failure to enforce any provision of these Terms, or to act on any breach, is not a waiver of that provision or of our right to enforce it later. Any waiver must be in writing and signed by an authorized representative of ReporterFlow to be effective, and applies only to the specific instance identified.
